Associate Director, Legal & Secretariat
Hong Kong-Shenzhen Innovation and Technology Park Limited (“HSITP”, a wholly owned subsidiary of the Hong Kong Science & Technology Parks Corporation, is engaged in the planning, building, management, operation and maintenance of the Hong Kong-Shenzhen Innovation & Technology Park at the Lok Ma Chau Loop (“the Loop”).
With a site area of 87 hectares, the Loop will be a hub for vigorous technology R&D and collaboration among top-notch international R&D institutions, technology enterprises and talent. The Loop will provide necessary infrastructure, facilities and service support for the innovation and technology (I&T) community; with associated higher education, cultural and creative and other complementary facilities.
Role Purpose
The Associate Director, Legal & Secretariat, will play a dual-functional leadership role. Supporting the General Counsel, the incumbent will manage a broad spectrum of legal matters—with a heavy emphasis on construction and commercial contracts—while concurrently leading the Corporate Secretariat function. This role ensures that HSITPL operates within the highest standards of legal compliance, corporate governance, and internal control.
Responsibilities:
1. Legal Advisory & Project Support
- Legal Oversight: Assist the General Counsel in advising senior leadership on legal compliance, corporate affairs, and the mitigation of legal risks across all business initiatives
- Construction & Commercial Contracts: Lead the review, negotiation, and drafting of complex construction-related contracts, specifically addressing critical issues such as delays, defects, payment terms (SOPL), and variations
- Operational Advice: Provide proactive legal and commercial guidance to various departments covering tendering processes, project execution, and general corporate transactions
- Dispute Management: Manage potential disputes and litigation, liaising effectively with internal stakeholders and managing external legal counsel to achieve cost-effective resolutions
2. Corporate Governance & Secretariat
- Board Accountability: Ensure full compliance with the Companies Ordinance and other statutory/regulatory requirements
- Meeting Management: Organize and ensure the smooth execution of Board, Committee, and Task Force meetings; act as a primary point of contact for Board Members regarding their duties and decision-making processes
- Governance Development: Monitor legislative and regulatory changes affecting HSITPL’s operations and advise the Board and General Counsel on evolving corporate governance best practices
- Board Support: Arrange induction and continuous professional development (CPD) programmes for Board Members to familiarize them with HSITPL’s operations and their fiduciary roles
3. Internal Control & Records Management
- System Implementation: Establish and maintain a robust records management system to ensure accurate documentation and effective control of all policies, guidelines, and decisions
- Risk & Audit: Undertake internal control and risk management functions; conduct ad-hoc audits or investigations and prepare detailed reports for the Board and CEO
- Stakeholder Liaison: Act as a key liaison between HSITPL, Government authorities, and professional advisors
Requirements:
- Qualified Lawyer in Hong Kong with at least 12-15 years’ Post-Qualification Experience (PQE)
- Current Member of the Hong Kong Chartered Governance Institute (HKCGI/HKICS) or equivalent
- Solid experience gained within a reputable law firm and/or a sizable organization (preferably a statutory body or a major developer)
- Proven track record in construction or property law is a strong plus
- Extensive experience in corporate governance and secretariat management for complex organizations
- Strong commercial acumen with the ability to provide pragmatic solutions to legal and operational challenges
- Exceptional communication and interpersonal skills, capable of balancing the interests of diverse stakeholders
- High degree of professional ethics, integrity, and sound judgment
- Excellent command of written and spoken English and Chinese (including Cantonese and Mandarin)
- Proficiency in producing high-quality written papers in both Traditional and Simplified Chinese
- Frequent Travel or Permanent Work in Lok Ma Chau Office is required (Shuttle bus service & MTR concession scheme is available)
